Introduction

This Agreement is entered into by and between LBank (hereinafter referred to as the “Platform” or “we/us”) and the user who accesses or uses the Earn services provided by the Platform (hereinafter referred to as “you”).

This Agreement applies to all Earn-related products and services offered by the Platform, including but not limited to Spot Earn, Locked, Futures Earn, and any similar products or services that may be introduced in the future (collectively referred to as the “Earn Services”).

Before using any LBank Earn product or related feature, you must carefully read this Agreement and all applicable legal documents. By starting or continuing to use such services, you are deemed to have fully understood and unconditionally accepted all terms and conditions contained herein. If you do not agree with any term of this Agreement, you must immediately discontinue the use of the services.

Due to applicable laws, regulatory restrictions, or compliance requirements, the Platform reserves the right to restrict access to Earn Services for users from certain jurisdictions. The list of restricted regions shall be subject to the Platform’s announcements and updates from time to time.

Definitions

  1. APR: Refers to the Annual Percentage Rate published by the Platform at the time of subscription. It is provided solely for calculation and display purposes.

  2. Blockchain Network Architecture: Refers to a decentralized network maintained collectively by distributed nodes, responsible for ledger validation and transaction processing, including its underlying protocol rules.

  3. DApp: Refers to a decentralized application operating on the aforementioned blockchain network and governed by decentralized protocols.

  4. Early Redemption: Refers to the act of redeeming financial assets prior to the agreed maturity date (if permitted under the applicable product rules).

  5. Locked: Refers to a financial product in which assets are locked for a specified period and both principal and yield are settled and returned upon maturity.

  6. Spot Earn: Refers to a financial product without a fixed maturity date, allowing subscription or redemption at any time within the scope of applicable rules.

  7. Maturity Date / Redemption Date: Refers to the agreed final maturity date or redemption availability date for a specific financial product cycle.

  8. Term: Refers to the agreed holding period between the effective date and the maturity date of a fixed-term or other applicable financial product.

Service Description

  1. The Financial Services allow you to deposit or lock digital assets on the Platform under flexible or fixed-term arrangements in order to obtain corresponding yield. The service does not provide principal protection, and you may face partial or total loss of principal.

  2. By subscribing to any Financial Service, you confirm and agree that:

    • During the holding period, if the relevant asset carries on-chain governance rights (such as voting), you agree to delegate or transfer such rights to the Platform for the duration of the product term;

    • The Platform may aggregate your assets with those of other users for unified management and utilization;

    • You irrevocably authorize the Platform, within the scope permitted by applicable laws and this Agreement, to pledge, lend, provide liquidity, hedge, or participate in other projects using the assets in any manner determined at the Platform’s sole discretion, for the purpose of generating the expected return displayed on the service page;

    • The Platform reserves the right, at its sole discretion and from time to time, to adjust minimum subscription amounts, product size limits, subscription/redemption timing and quotas, APR rates, fees, and other parameters;

    • You represent and warrant that you have lawful ownership of the digital assets used in the Financial Services and that their source is legitimate and compliant.

  3. You acknowledge and accept that the use of Financial Services may involve, but is not limited to, the following risks:

    • Inability to freely trade or transfer assets while locked, including opportunity costs and liquidity risks arising therefrom;

    • The expected yield displayed on the service page is theoretical and not a guarantee of actual returns. Final returns shall be subject to the actual distribution;

    • Significant volatility in the value of digital assets and related derivatives, which may result in substantial losses within a short period of time;

    • Trading failures, delays, or asset losses caused by technical issues, market abnormalities, regulatory actions, or changes to policies, product rules, or system operations.

Yield Rules

Upon successful subscription, your assets will begin accruing yield based on the Annual Percentage Rate (APR) or tiered APR disclosed at the time of subscription. Different asset types and subscription amounts may be subject to different yield tiers.

APR may be adjusted based on market conditions, liquidity, or other relevant factors. Any adjustment will be subject to the Platform’s announcements or the applicable product page. You are solely responsible for monitoring such updates, and the Platform shall not be liable for any losses resulting from APR changes.

Historical performance does not represent future results. Any APR displayed on the Platform or referenced in documentation is an estimate only and does not constitute a guarantee or promise of actual returns. Actual yields distributed may differ slightly due to calculation precision, rounding methods, or similar technical factors.

Enforcement Measures

  1. The Platform strictly prohibits any form of improper or abusive trading activity, including but not limited to market manipulation, price manipulation, insider trading, market disruption, or any other behavior deemed harmful by the Platform.

  2. If you are determined to have engaged in any of the above-mentioned activities, or if you violate applicable laws, regulations, or this Agreement, the Platform reserves the unilateral right to take actions including, but not limited to, restricting, freezing, or closing your account, suspending services, refusing to execute instructions, or canceling existing instructions. The Platform shall not be liable for any losses arising therefrom.

Risk Disclosure and Important Notice

  1. By using the Earn Services, you acknowledge and agree that you are solely responsible for managing all associated risks, assessing the value and risks of digital asset investments, and preparing—both financially and mentally—for the potential loss of the entire amount you allocate.

  2. Before participating in any leveraged, futures-based, or other high-risk products, you should carefully evaluate your financial situation and risk tolerance and make decisions prudently.

  3. The risk disclosures contained in this Agreement do not represent an exhaustive list of all potential risks. Digital asset investment remains a high-risk activity, and you are advised to participate rationally and with caution.

Disclaimer

To the extent permitted under applicable mandatory laws, the Platform shall not be liable for any losses arising from, including but not limited to, the following circumstances:

  1. Service suspension during system maintenance or upgrades;

  2. Service interruption caused by communication failures, power outages, or network failures;

  3. Force majeure events, including but not limited to natural disasters, war, strikes, government actions, pandemics, or similar circumstances;

  4. Technical incidents such as hacking attacks, malware, or failures of third-party service providers;

  5. Adjustments or suspension of services due to changes in laws, regulations, or regulatory requirements.

Under no circumstances shall the Platform be liable for indirect losses, loss of expected yield, loss of goodwill, or any other consequential damages arising from your use of the Earn Services.

To the maximum extent permitted by applicable law, if a direct financial loss is proven to be caused by the Platform’s fault, the Platform’s total liability shall, in principle, not exceed either the yield generated from the relevant Earn product during the applicable period, or the total service fees paid within a reasonable scope (if applicable).

Non-Investment Advisory Statement

  1. The Platform is not your broker, trustee, or financial advisor, and no fiduciary relationship of any kind shall be deemed to exist between you and the Platform.

  2. Any information, market data, descriptions, or communication provided by the Platform is for general informational and product-introduction purposes only and shall not be construed as investment, legal, or tax advice.

  3. All transactions are executed based on your own independent judgment and instructions. You are solely responsible for evaluating whether any product or strategy is suitable for your individual circumstances and shall bear all results and losses arising therefrom.

Other Terms

  1. If any provision of this Agreement is deemed invalid or unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions, which shall continue to be binding on both parties.

  2. In the event of any inconsistency between this Agreement and other legal documents of the Platform, the provisions specifically governing Earn Services in this Agreement shall prevail. Matters not addressed herein shall be governed by the 「LBank Service Agreement」 and other applicable legal documents.

  3. This Agreement may be provided in multiple language versions. In the event of any inconsistency or ambiguity between language versions, the English version shall prevail.

  4. The Platform reserves the right to revise this Agreement from time to time as necessary. The revised version will be published on the Platform and will take effect from the date of publication. Your continued use of the Earn Services constitutes your acceptance of the revised Agreement.
